Welcome to BRDGE Insights LLC ("BRDGE", "Company", "we", "us", or "our"). BRDGE operates https://www.brdgeinsights.com/ (the "Site") and the Strēm platform (the "Portal"), an online proprietary AI-powered investment research tool that provides stock analysis, company fundamental evaluation, market trend exploration, and related services ("Services"). The Strēm platform allows "Registered Users" (individuals and employees of participating companies subject to a Service Agreement or clickwrap acceptance at checkout) to leverage artificial intelligence to analyze financial data, conduct investment research, and access related tools.

Before using the Site or Portal, please read all of the following terms and conditions ("Terms") so that you fully understand the Services BRDGE agrees to provide and your obligations while using the Site and Portal. These Terms also apply to any person, registered or not, navigating the Site ("You" and "Your"). Your access to and use of the Site and Portal is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Services. By accessing or using the Site and/or Portal, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you do not have permission to access the Site and/or Portal or use the Services.

For your protection, BRDGE also has a Privacy Policy outlining what BRDGE can and cannot do with your account information and any other information BRDGE obtains from or about you through your use of the Site and Services, which is incorporated by reference. You can read our Privacy Policy here.

1. Acceptance of the Terms

The Site, Portal, Services and each part thereof are provided to you only in accordance with these Terms. By using the Site, Portal, and/or Services, you agree to be bound by the entirety of the Terms. BRDGE reserves the right to update the Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website

  • Sending notice to your registered email

  • Displaying a notification on our platform

It is your responsibility to periodically check the Terms for updates. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the Terms or to any of the updates to the Terms, your only recourse is to discontinue use of the Site, Portal, and Services.

2. Eligibility

THE SITE, PORTAL, AND SERVICES ARE NOT AVAILABLE OR TARGETED TO PERSONS UNDER THE AGE OF 18 OR TO ANY USERS PREVIOUSLY SUSPENDED OR REMOVED FROM THE SITE OR PORTAL BY BRDGE.

In order to use the Site, Portal, and/or Services, you must:

  • Be at least 18 years of age

  • Be fully able and competent to enter into and comply with these Terms

  • Not have been previously suspended or denied permission to use the Services by BRDGE

  • Not be prohibited from using the Services under any applicable laws or regulations in your jurisdiction

The Services are initially intended for users based in the United States. However, Services may expand to international users in the future.

By using our Services, you represent and warrant that you meet all of the eligibility requirements described above.

3. Two-Tier Service Structure

BRDGE operates with two levels of terms and access:

3.1 Public Website (brdgeinsights.com)

Anyone on the internet can access the public-facing website to learn about our AI-Powered Investment Research Tool. Basic Terms and Conditions and Privacy Policy apply to all website visitors.

3.2 Strēm Platform (Portal)

Access to the Strēm platform requires:

  • Acceptance of these Terms and the Privacy Policy

  • Completion of the applicable subscription and payment process

  • Completion of onboarding

  • Receipt of login credentials

  • Execution of a separate Service Agreement (Enterprise License holders) or clickwrap acceptance at checkout (Professional and Team License holders)

Enhanced Terms and Conditions apply to all Clients and Registered Users with portal access, with certain provisions varying based on the License type as described in Section 4.

4. License Types and Subscription Structure

BRDGE offers the following License types, each with distinct account structures, billing, and onboarding processes. All License types are subject to these Terms in their entirety.

4.1 Professional License (Individual)

A Professional License grants one individual user access to the Strēm platform for their own professional investment research use. Key features of a Professional License include:

  • One individual user account

  • The user serves as their own account holder and administrator

  • No separate Service Agreement required; access is granted upon clickwrap acceptance of these Terms at checkout

  • Billing is available monthly or annually (annual billing available at a discount)

4.2 Team License

A Team License grants access to a defined number of users within a group or organization. Key features of a Team License include:

  • One primary account holder/administrator plus additional user seats as specified in the selected tier

  • No separate Service Agreement required; access is granted upon clickwrap acceptance of these Terms at checkout

  • Billing is available monthly or annually (annual billing available at a discount)

4.3 Enterprise License

An Enterprise License grants access for larger organizations with a full Master Account and User Account structure. Key features of an Enterprise License include:

  • One Master Account managed by a designated Primary Contact/Administrator

  • Multiple individual User Accounts for Registered Users, up to the number permitted by the applicable subscription tier

  • A separate Service Agreement is required prior to account activation and must be executed via e-signature

  • Billing is on a quarterly basis unless otherwise specified in the Service Agreement

4.4 License Tier Step-Up and Upgrade Requirements

The following thresholds govern the automatic step-up from one License tier to the next. Clients are responsible for monitoring their user count and usage and for notifying BRDGE proactively when approaching any applicable threshold.

Professional to Team Upgrade

A Professional License is limited to one (1) user. If a Professional License holder requires access for additional users, they must upgrade to a Team License prior to adding any additional users. BRDGE reserves the right to deny additional user access to any account operating under a Professional License.

Team to Enterprise Upgrade

A Team License is limited to nine (9) user seats. The following thresholds apply:

  • Soft Threshold (8 Users): Upon a Team License account reaching eight (8) Registered Users, BRDGE will contact the Client's primary administrator to initiate a conversation regarding the applicable seat limit and the availability of an Enterprise License upgrade. The Client may continue operating under the Team License while the Parties discuss the appropriate Enterprise structure and pricing. Each additional seat after the initial five (5) seats under the Teams plan is $1000 / month.  There can only be one administrator account per Teams account. In the event you need more than one administrator account you will need to upgrade to an Enterprise Account.

  • Auto-Upgrade Threshold (9 Users): A Team License account may not exceed nine (9) Registered Users. Upon a Team License account reaching nine (9) Registered Users, the account will be automatically flagged for a mandatory upgrade to an Enterprise License. BRDGE will notify the primary administrator, and the Parties will be required to execute a Service Agreement before any additional User Accounts may be created. Existing users will retain uninterrupted access to the platform during the transition period, provided the Client cooperates in good faith to complete the upgrade process in a timely manner. BRDGE reserves the right to suspend the creation of additional User Accounts until a Service Agreement is executed.

5. Demonstration Process

5.1 Scheduling Demonstrations

Potential clients may request product demonstrations. Demonstrations may be conducted via:

  • Zoom

  • Google Meet

  • Microsoft Teams

  • In-person meetings

5.2 Demonstration Attendance

  • There is currently no limit on the number of attendees per demonstration

  • Multiple demonstrations may be scheduled for different user groups or management levels

  • Demonstration participants do not receive login credentials

5.3 Demonstration Content

During demonstrations, BRDGE representatives will show the platform in real-time, which may include:

  • AI Chatbot functionality

  • Dashboard features

  • Watchlist capabilities

  • News and analytics tools

  • Coverage management features

5.4 Information Collected

BRDGE may collect feedback, additional contact information, and notes about your firm's needs during demonstrations. See our Privacy Policy for details.

6. Service Agreement and Account Creation

6.1 Enterprise License: Service Agreement Required

Access to the Strēm platform for Enterprise License holders is only available once a Service Agreement has been executed between BRDGE and the Client. The Service Agreement is separate from these Terms and will be sent through an e-signature program prior to granting access to the Portal.

6.2 Professional and Team License: Checkout Acceptance

Professional License and Team License holders access the Strēm platform upon completion of the checkout process, payment, and clickwrap acceptance of these Terms and the Privacy Policy.

6.3 Information Required

Upon subscribing, Clients must provide accurate and complete information, which may include:

  • Full name (individual users) or company name (Team and Enterprise)

  • Address

  • Phone number

  • Platform administrator name (Team and Enterprise)

  • Type of firm, if applicable (e.g., RIA, Hedge Fund, Asset Management)

  • Valid email address

  • Payment information

  • Any additional information reasonably requested by BRDGE

This information is used to create and manage your account.

7. Accounts

The Services are only available to Registered Users once you have an active account. The structure of your account depends on your License type.

7.1 Professional License Account

Professional License holders will have one individual account. The user serves as the sole account holder and administrator. There is no separate Master Account or User Account distinction.

7.2 Team License Account

Team License holders will have one primary administrator account plus the number of user seats included in their selected tier. The administrator is responsible for managing user access within the team.

7.3 Enterprise License: Master Account

Each Enterprise Client organization may only have one Master Account. When a Service Agreement is executed:

  • BRDGE will create a Master Account using the company information provided

  • The designated Primary Contact will serve as the initial Administrator

  • The Primary Contact will receive an email invitation to complete account setup, agree to these Terms and the Privacy Policy, and create a password

  • Additional Administrators may be named and administration privileges may be transferred

7.4 Enterprise License: User Accounts

  • The number of User Accounts available depends on the Client's subscription tier

  • Each Registered User within the Client organization will have their own individual User Account

  • User Accounts are created by the Administrator or through invitation

  • Each individual may only have one Account

7.5 Account Information Requirements

Regardless of License type, when signing up for an Account you must provide complete and accurate information. You agree to keep your information up-to-date at all times. You must provide verification of this information at any time if requested by BRDGE.

7.6 Administrator Responsibilities (Team and Enterprise)

If you serve as an administrator for a Team or Enterprise account, you warrant that you are permitted to create and maintain an account for that group and that you will represent them accurately. In the event that you no longer qualify to hold an account (for example, you no longer work for the sponsoring organization), you must cease use of the account immediately and transfer ownership as instructed by the entity with account ownership.

7.7 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activities that occur under your Account

  • Not sharing your account credentials with others

  • Notifying BRDGE immediately at support@brdgeinsights.com if you learn of any unauthorized access to your Account

BRDGE is not liable for any losses resulting from unauthorized access to your Account; likewise, you will be liable to BRDGE for any losses caused to BRDGE resulting from unauthorized access to your Account.

7.8 Account Restrictions

You must not:

  • Share your account credentials with others

  • Create multiple accounts to circumvent restrictions

  • Allow others to access your Account without authorization

  • Use another person's Account without permission

8. Subscription, Payment, and Fees

8.1 Subscription Required

Access to the Strēm platform requires a paid subscription. Subscription terms, tiers, and pricing are defined in your Service Agreement (Enterprise) or as specified at checkout (Professional and Team).

8.2 Fees

BRDGE reserves the right to charge fees for the use of the Services, including to create an Account or to use specific features of the Portal and Services. Fees and terms relating to the Services are included in a separate Service Agreement (Enterprise) or presented at checkout (Professional and Team), incorporated by reference.

8.3 Payment Processing

Payments for Services shall be processed by Stripe, an outside third-party service provider. Stripe shall be solely liable for payment processing issues, and your use of Stripe's services shall be subject to Stripe's terms, conditions, and policies. Stripe's Privacy Policy can be viewed at https://stripe.com/privacy.

8.4 Payment Authorization

By subscribing, you authorize us to charge your payment method for:

  • Initial subscription fees

  • Recurring subscription fees

  • Any applicable taxes

  • Any other fees specified in your Service Agreement or at checkout

8.5 Billing Frequency

Billing frequency depends on your License type:

  • Professional License: Billed monthly or annually. Annual billing is available at a discount.

  • Team License: Billed monthly or annually. Annual billing is available at a discount.

  • Enterprise License: Billed quarterly, unless otherwise specified in the applicable Service Agreement.

8.6 Automatic Renewal

Auto-Renewal Disclosure

ALL BRDGE SUBSCRIPTION PLANS AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE UNLESS CANCELLED IN ACCORDANCE WITH THE CANCELLATION PROCEDURES SET FORTH IN THIS SECTION. BY SUBSCRIBING TO ANY BRDGE LICENSE, YOU AFFIRMATIVELY CONSENT TO THESE AUTO-RENEWAL TERMS.

The specific renewal terms for each License type are as follows:

  • Professional License: Automatically renews on a monthly or annual basis, depending on the billing cycle selected at checkout, at the then-current subscription rate.

  • Team License: Automatically renews on a monthly or annual basis, depending on the billing cycle selected at checkout, at the then-current subscription rate.

  • Enterprise License: Automatically renews in accordance with the renewal terms set forth in the applicable Service Agreement.

Renewal Notice

For Professional and Team License holders subscribed to an annual billing cycle, BRDGE will provide written notice of the upcoming renewal no fewer than thirty (30) days and no more than sixty (60) days prior to the renewal date. Notice will be sent to the email address associated with your account. It is your responsibility to keep your contact information current and accurate. Failure to receive a renewal notice due to an outdated or inaccurate email address does not relieve you of your renewal obligations.

For monthly billing cycles, the subscription will renew automatically each month without additional advance notice beyond this disclosure.

Fee Changes Prior to Renewal

If BRDGE intends to change the subscription fee applicable to your License at renewal, BRDGE will provide written notice of the new fee no fewer than thirty (30) days prior to the renewal date. If you do not wish to renew at the new fee, you must cancel your subscription prior to the renewal date in accordance with the cancellation procedures below.

California Residents

If you are a California resident, the following additional terms apply pursuant to the California Automatic Renewal Law (California Business and Professions Code Section 17600 et seq.):

  • The automatic renewal terms disclosed above constitute a clear and conspicuous disclosure of the auto-renewal offer terms as required by California law.

  • Your subscription will automatically renew at the end of each billing cycle, and your payment method on file will be charged, unless you cancel prior to the renewal date.

  • You may cancel at any time by following the cancellation procedures set forth above.

  • If BRDGE makes any material change to the auto-renewal terms, BRDGE will provide you with clear and conspicuous notice of such change and obtain your affirmative consent prior to implementing the change.

  • Any free trial or promotional offer provided by BRDGE that converts to a paid subscription will include advance notice of the conversion and the applicable subscription rate prior to the conversion date.

New York Residents

If you are a New York resident subscribed to an annual or longer-term billing cycle, the following additional terms apply pursuant to the New York General Obligations Law Section 5-903 and applicable New York automatic renewal statutes:

  • BRDGE will provide written notice of the upcoming renewal no fewer than fifteen (15) days and no more than thirty (30) days prior to the renewal date, in addition to the general notice provisions described above.

  • Notice will be sent by email to the address associated with your account and, where required, may also be sent by first-class mail to the billing address on file.

  • If BRDGE fails to provide the required renewal notice, you may cancel the renewed subscription without penalty following the renewal date by notifying BRDGE in writing within a reasonable time after the renewal date.

Other Jurisdictions

BRDGE complies with applicable automatic renewal and subscription cancellation laws in all jurisdictions in which it operates. If you believe additional state or local automatic renewal requirements apply to your subscription, please contact us at  support@brdgeinsights.com.

8.7 Subscription Tiers

Your subscription tier determines:

  • The number of User Accounts or seats available (Team and Enterprise)

  • Access to specific features and tools

  • Billing frequency and pricing

Tier changes (upgrades or downgrades) are subject to the terms in your Service Agreement (Enterprise) or as specified at checkout (Professional and Team).

8.8 Payment Failure

If payment fails, we may:

  • Suspend or terminate your access

  • Attempt to collect payment through alternative methods

  • Charge late fees as permitted by law

8.9 Refund Policy

All subscription fees paid to BRDGE are non-refundable except as expressly set forth in this Section or as required by applicable law. Cancellation of your subscription does not entitle you to a refund of any fees already paid, including any prepaid fees for the remainder of a billing cycle or subscription term.

8.9.1 Monthly Subscriptions (Professional and Team)

For subscribers on a monthly billing cycle, no refunds will be issued for any portion of the current monthly billing period following cancellation. Your access to the Services will continue through the end of the paid monthly period, after which your account will be deactivated.

8.9.2 Annual Subscriptions (Professional and Team)

For subscribers on an annual billing cycle, no refunds will be issued for any unused portion of the annual term following cancellation. Your access to the Services will continue through the end of the paid annual period, after which your account will be deactivated. Annual subscribers who cancel within 7 days of their initial subscription date and have not materially used the Services may be eligible for a full refund at BRDGE's sole discretion.

8.9.3 Enterprise License

Refund terms for Enterprise License holders are governed by the applicable Service Agreement and Order Form. In the absence of any express refund provision in the Service Agreement, all fees are non-refundable.

8.9.4 BRDGE-Initiated Termination

If BRDGE terminates your subscription without cause prior to the end of a prepaid billing period, BRDGE will issue a pro-rata refund for the unused portion of that prepaid period. No refund will be issued if termination is due to your violation of these Terms, the Acceptable Use Policy, or your Service Agreement.

8.9.5 Required by Law

Nothing in this Section limits any refund rights you may have under applicable law. If you are entitled to a refund under applicable law, BRDGE will process that refund in accordance with its legal obligations.

8.9.6 How to Request a Refund

To request a refund where one is permitted under this Section, contact BRDGE at support@brdgeinsights.com within 30 days of the triggering event. BRDGE will review and respond to all refund requests within 10 business days. Approved refunds will be issued to the original payment method within 30 business days.

9. Description of Services

9.1 Strēm Platform Features

Once you have completed account creation and onboarding, Registered Users will have access to:

AI Chatbot

  • Responses to investment research questions

  • Analysis of stocks and market trends

  • Information on company fundamentals

  • Educational content about investing

Dashboard

  • Customizable analytics and data visualization

  • Research tools and insights

Watchlist

  • Track securities and companies of interest

  • Monitor market movements

News

  • Curated financial news and market updates

  • Relevant industry information

Coverage Management and Analytics

  • Research coverage tracking

  • Analytical tools for investment research

9.2 Document Upload and Analysis

Registered Users may upload documents to the Platform for analysis by our AI tools. BRDGE will have access to any documents you upload. All uploaded documents are subject to our security protocols as described in the Privacy Policy.

9.3 Third-Party Integrations

9.4 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of our Services

  • Change features, functionality, or availability

  • Update our AI algorithms and tools

  • Make changes without prior notice

BRDGE will not be liable to you for the effect that any changes to the Services may have on you, including your income or business.

10. Acceptable Use Policy

10.1 Permitted Uses

You may use our Services only for:

  • Investment research and education purposes, whether for individual professional use or on behalf of your organization

  • Lawful purposes

  • Purposes consistent with these Terms and your Service Agreement or checkout acceptance

  • Professional use in accordance with your own applicable compliance obligations and, where applicable, your organization's policies

10.2 Prohibited Activities

You must not:

  • Violate any applicable laws or regulations

  • Infringe on intellectual property rights

  • Transmit malicious code, viruses, or harmful content

  • Attempt to gain unauthorized access to our systems

  • Scrape, copy, or download content systematically

  • Use our Services for any commercial purpose outside the scope of your subscription

  • Reverse engineer, decompile, or disassemble our software

  • Share your account credentials with others

  • Create multiple accounts to circumvent restrictions

  • Manipulate or interfere with our Services

  • Impersonate others or provide false information

  • Use our Services to spam or harass others

  • Engage in market manipulation or illegal trading activities

  • Upload malicious code, viruses, or other software that is harmful to BRDGE or those who access the Services

  • Do anything that would interfere with or put an undue burden upon the Site, Portal, Services, or BRDGE's servers

  • Use the Site, Portal, and/or Services in a way that would cause BRDGE to violate applicable law or infringe upon the rights of any party

  • Access the Site, Portal, or any portion or content thereof other than through an interface provided by BRDGE

  • Circumvent any Digital Rights Management (DRM) or security feature in use by BRDGE

  • Collect or harvest information about Registered Users, or use the Site or Portal to send unsolicited mass communications to Registered Users

  • Modify or interfere with any embedded features

10.3 Consequences of Violations

Violation of this Acceptable Use Policy may result in:

  • Immediate suspension or termination of your Account

  • Termination of the Service Agreement

  • Legal action

  • Reporting to appropriate authorities

BRDGE has the right, but not the obligation, to warn, suspend the Accounts of, or terminate your Account at any time, for any reason and without advance notice.

11. User Content

Registered Users will upload content to the Portal, including documents, data files, and other materials ("User Content"). For Team and Enterprise accounts, User Content will be accessible to Registered Users under the same account or Master Account (your organization).

11.1 Your Responsibility for User Content

  • BRDGE is not responsible for any User Content

  • The Registered User and Client shall maintain copies of all User Content

  • It is your responsibility to backup User Content as BRDGE may delete content upon account termination

11.2 License to BRDGE

You retain ownership of any information, data, or content you provide through our Services. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve our Services.

11.3 Data Isolation

Your User Content is isolated at the account level. Your data will not be visible to users from other Client organizations or accounts.

11.4 Data Use Restrictions

Client data is never used to train external AI models. Your proprietary information remains confidential and is processed only within BRDGE's controlled internal environment.

12. Intellectual Property Rights

12.1 BRDGE's Ownership

All content on the Site and Portal is owned by or licensed to BRDGE. All content, features, and functionality of our Services, including:

  • Text, graphics, logos, images

  • Software, code, and algorithms

  • AI models and training data

  • Trademarks and service marks (including "BRDGE," "Strēm," and related marks)

  • Proprietary information

are owned by BRDGE Insights LLC or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

12.2 Limited License

BRDGE grants you the limited right to use the Site and Portal in accordance with these Terms. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your professional use as authorized under your applicable License type.

12.3 Restrictions

You may not:

  • Copy, modify, or create derivative works

  • Distribute, sell, or transfer any portion of our Services

  • Remove or alter any proprietary notices

  • Use our intellectual property without express written permission from BRDGE

  • Use the Site or Portal in a manner that violates our intellectual property rights

BRDGE retains the right to remove any feature of the Site, Portal, and/or Services at any time for any reason, without prior notice.

13. External Links and External Media

Both Registered Users and BRDGE could post links to third-party websites ("External Links") or other content hosted on third-party websites ("External Media"). External Links and External Media are not affiliated with BRDGE and may contain malicious code, objectionable content, or content that violates applicable laws or the rights of third parties.

BRDGE is not responsible for any External Links, the websites to which External Links may direct, or any External Media. It is your responsibility to verify the location of External Links before clicking on them, and you assume all risks of clicking on External Links. Similarly, it is your responsibility to verify the content of External Media before viewing or listening to such media, and you assume all risks in viewing or listening to the media.

BRDGE also cannot guarantee that External Media or other information linked by External Links will continue to remain available on that third-party website. BRDGE retains the right to remove External Links or External Media at any time for any reason. BRDGE also reserves the right to prevent the Site, Portal, any pages thereof, or media on the Site or Portal from being linked to or embedded on any other website, application, or by any other means.

14. Investment Disclaimers

14.1 NOT INVESTMENT ADVICE

THE INFORMATION AND ANALYSIS PROVIDED THROUGH OUR SERVICES, INCLUDING OUR AI-POWERED CHATBOT AND RESEARCH TOOLS, ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. THEY DO NOT CONSTITUTE INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, OR ANY OTHER TYPE OF PROFESSIONAL ADVICE.

NO COMMUNICATION FROM BRDGE MAY BE CONSTRUED TO CREATE INVESTMENT ADVICE OF ANY KIND.

14.2 No Professional Relationship

Use of our Services does not create:

  • An investment advisor-client relationship

  • A fiduciary duty

  • Any professional advisory relationship

  • An employment, agency, partnership, joint venture, or franchise relationship between you and BRDGE

14.3 Independent Verification Required

You must:

  • Independently verify all information

  • Conduct your own research and due diligence

  • Consult with qualified financial professionals before making investment decisions

14.4 No Recommendations

We do not recommend or endorse:

  • Any specific securities, investments, or strategies

  • Any buy, sell, or hold decisions

  • Any particular course of action

14.5 Investment Risks

You acknowledge that:

  • All investments carry risk, including loss of principal

  • Past performance does not guarantee future results

  • Market conditions can change rapidly

  • You are solely responsible for your investment decisions

  • BRDGE shall not be liable for any investment losses

14.6 AI Limitations and Accuracy

Our AI tools:

  • May contain errors, inaccuracies, or limitations

  • Should not be solely relied upon for investment decisions

  • Analyze data based on algorithms that may have inherent biases

  • Cannot predict future market movements with certainty

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BRDGE INSIGHTS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue

  • Loss of data or information

  • Investment losses

  • Trading losses

  • Business interruption

  • Loss of business opportunities

  • Cost of substitute services

WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT BRDGE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

16.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE IMMEDIATELY PRIOR QUARTERLY BILLING CYCLE. FOR PROFESSIONAL AND TEAM LICENSE HOLDERS, THIS CAP SHALL NOT EXCEED THE AMOUNT PAID IN THE IMMEDIATELY PRIOR ONE (1) MONTH BILLING CYCLE.

16.3 Essential Purpose

You acknowledge that this limitation of liability reflects a reasonable allocation of risk and is an essential element of the agreement between you and BRDGE Insights LLC.

16.4 Jurisdictional Limitations

Some jurisdictions do not allow certain warranty disclaimers or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless BRDGE Insights LLC, its officers, directors, employees, agents, affiliates, successors, assigns, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees and court costs) arising from or relating to:

  • Your use or misuse of our Services

  • Your violation of these Terms or your Service Agreement

  • Your violation of any rights of third parties

  • Your violation of applicable laws or regulations

  • Any investment decisions you make

  • Any content you submit or transmit through our Services (User Content)

  • Any false or misleading information you provide

  • Your infringement of the rights of third parties

Even though you will indemnify BRDGE, BRDGE reserves the right to handle its own legal defense as it sees fit and you agree to cooperate however necessary.

20. Termination

20.1 Termination by You

Cancellation Procedures

You may cancel your subscription at any time prior to the next renewal date using any of the following methods:

  • Professional and Team License holders: Cancel directly through your account settings portal, or by contacting BRDGE at support@brdgeinsights.com. Cancellation requests must be received no later than 5 business days prior to the renewal date to be effective for that billing cycle.

  • Enterprise License holders: Cancellation is governed by the termination provisions of the applicable Service Agreement, which requires thirty (30) days prior written notice.

Cancellation will take effect at the end of the then-current billing cycle. You will retain access to the platform through the end of the paid period. No refunds will be issued for any unused portion of a cancelled subscription unless otherwise required by applicable law.

20.2 Effect of Termination by You

Upon your termination date (or at an earlier date if requested and BRDGE agrees):

  • All Accounts associated with the Registered User or Client shall be terminated

  • All data will be removed in accordance with our Privacy Policy

  • You will no longer have access to the Portal

  • Your right to access our Services immediately ceases

It is your responsibility to maintain copies of any materials as you will no longer have access following termination and BRDGE shall have no liability or responsibility for your materials.

20.3 Termination by BRDGE

BRDGE has the right, but not the obligation, to warn, suspend, or terminate your Account at any time, for any reason and without advance notice. We may suspend or terminate your access immediately, without prior notice, for:

  • Violation of these Terms

  • Violation of your Service Agreement

  • Non-payment of fees

  • Fraudulent or illegal activity

  • Any reason at our sole discretion

If BRDGE terminates your Account, you may not continue to visit the Site, use the Portal or Services, nor may you create another Account.

20.4 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: disclaimers, limitations of liability, indemnification, intellectual property rights, and dispute resolution.

21. Dispute Resolution

21.1 Governing Law

These Terms shall be construed in accordance with the laws of the Commonwealth of Massachusetts without regard to its conflict of law provisions.

21.2 Venue

To the extent court proceedings are permitted under this Agreement, all disputes must be brought in the state or federal court located in Suffolk County, Massachusetts and you agree to waive any defense of lack of personal jurisdiction or forum non conveniens you may have.

21.3 Arbitration Agreement

You agree that any dispute or claim arising from or relating to these Terms shall be finally settled by final and binding arbitration, using the English language, administered by the American Arbitration Association (the "AAA") under its Consumer Arbitration Rules (the "AAA Rules") then in effect, except that:

  • You may bring claims in small claims court if they qualify

  • Either party may seek injunctive relief in court for intellectual property or confidentiality violations

21.4 Arbitration Procedure

Arbitration will be handled by a sole arbitrator in accordance with the AAA Rules:

  • A Professional arbitrator

  • Under the rules of the American Arbitration Association (AAA)

  • In Massachusetts or virtually, at the election of BRDGE

  • Each party shall bear their own costs

Judgment on the arbitration award may be entered in any court that has jurisdiction. Any arbitration under the Terms will take place on an individual basis.

21.5 Class Action Waiver

Class arbitrations and class actions are not permitted. YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.

21.6 Jury Trial Waiver

YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

22. Digital Millennium Copyright Act

BRDGE respects the rights of copyright owners. If you believe something on the Site or Portal infringes upon your copyrights, please contact support@brdgeinsights.com with a takedown notice containing all of the following information:

  • Your name, address, and electronic signature

  • The name of, and a link to, the content you believe to be infringing

  • The name and description of the copyrighted work you own that you believe is being infringed upon

  • A statement that you have a good faith belief that there is no legal basis for the use of the materials complained of

  • A statement of the accuracy of your notice and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

Once we receive your notice, BRDGE will promptly remove the offending content from the Site and/or Portal.

23. General Provisions

23.1 Entire Agreement

These Terms, together with our Privacy Policy and, where applicable, your Service Agreement, constitute the entire agreement between you and BRDGE Insights LLC regarding our Services. No waiver, consent, modification, or change in this agreement shall be binding unless posted in updated Terms by BRDGE or executed in an amendment to your Service Agreement.

23.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, you agree that the remainder of the Terms shall remain in full force and effect.

23.3 Waiver

Our failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

23.4 Assignment

BRDGE may assign its rights and/or delegate its duties under these Terms to any party at any time without notice. The Terms will be binding on BRDGE's successors and assigns. You may not assign your rights or delegate your duties under these Terms without our written consent.

23.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

23.6 Relationship

There is no employment, agency, partnership, joint venture, or franchise relationship created between you and BRDGE. Nothing in these Terms creates such a relationship between you and BRDGE Insights LLC.

23.7 Headings

The headings in these Terms are for convenience only and have no legal or contractual effect.

24. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website

  • Sending notice to your registered email

  • Displaying a notification on our platform

Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our Services and, where applicable, terminate your Service Agreement in accordance with its terms.
